Board Reporting Template: What Boards Want to See and How to Deliver

What belongs in a board reporting template

A board reporting template is a fixed structure for the recurring financial and operating package a company sends its board before each meeting. A working template has seven sections: an executive summary, a KPI scorecard, the financial statements with variance commentary, the updated forecast, a cash and runway view, the specific decisions requiring board input, and an appendix holding everything else. The structure stays constant meeting to meeting so directors can read for change rather than re-learn the format.

That last point is the one that determines whether the package works. Boards are reading for delta. A package that reorganizes itself each quarter forces directors to spend their attention on navigation instead of judgment, and the meeting turns into a walkthrough.

What boards are actually reading for

Directors have limited time and a narrow set of obligations: capital, risk, executive performance, and strategic direction. Nearly everything they need from finance maps to four questions.

• Are we on the trajectory we committed to, and if not, why? Not whether the number moved, but what caused it and whether the cause persists.
• Is the cash position safe through the planning horizon? For venture-backed companies this is runway. For leveraged companies it is covenant headroom. For nonprofits it is months of operating reserve.
• What changed in the forward view since last time? The forecast revision is more informative than the historical result, and it is the section most often missing.
• What do you need from us? Decisions, approvals, introductions, or judgment. A package with no asks tends to generate unfocused discussion.

Everything in the template exists to answer one of those four. Content that answers none of them belongs in the appendix.

Format note: Board reporting and management reporting are not the same document at different lengths. The management package is diagnostic and built for the people who can act on the detail. The board package is decision-oriented and built for people who see the company eight hours a year. Compressing the management package does not produce a board package.

The seven-section template

1. Executive summary

One page. Three to five sentences covering the period result against plan, the single most important change since the last meeting, and the headline ask. Then a short list of what is working and what is not, with numbers attached.

Directors who read nothing else should be able to hold an informed conversation from this page alone. Write it last, after the rest of the package is assembled, and write it as conclusions rather than as a summary of contents. "Q3 revenue landed 6% under plan on enterprise deal slippage; four of six deals have since closed, and full-year guidance is unchanged" is a conclusion. "This section reviews Q3 performance" is not.

Jirav has covered the mechanics of this page in more depth in executive summary reporting best practices.

2. KPI scorecard

Five to eight metrics, the same ones every meeting, each shown as current period, prior period, plan, and trend. Changing the metric set between meetings destroys the trend line and signals that the company is still deciding what matters.

Choose metrics the board can actually influence or that genuinely predict the financials. For a subscription business that is usually net revenue retention, new ARR, CAC payback, gross margin, and burn multiple. For services it is utilization, realization, revenue per producer, and pipeline coverage. Build the underlying KPI dashboard once and let the board scorecard be a filtered view of it rather than a separately maintained artifact. Jirav has covered a starting set in the top financial dashboard KPIs for board reporting.

3. Financial statements with variance commentary

Income statement, balance sheet, and cash flow, each shown against plan, with commentary on material variances only. The commentary is the section, not the statements. Full-detail statements belong in the appendix.

Material means above a pre-agreed threshold, and each flagged variance should carry the cause, the quantified components, whether it is timing or structural, and what has changed in the model as a result. That decomposition discipline is covered in variance analysis. A board seeing a list of differences without causes will spend the meeting generating hypotheses that finance already tested.

4. Updated forecast

The revised full-year or rolling twelve-month view, shown against both the original plan and the prior forecast, with the drivers behind the revision stated explicitly.

This is the section most commonly missing and the one most valuable to directors. A board that only sees historical results is being asked to govern by rear-view mirror. Showing the forecast walk (prior forecast, each driver change with its dollar impact, current forecast) turns a revision from an unexplained new number into a reviewable chain of reasoning.

5. Cash and runway

Ending cash by month for the forecast horizon, the operating floor or covenant threshold drawn as a line, and the date the two intersect under base and downside cases.

Frame it as a date, not a balance. "Runway to March 2027 under base case, December 2026 under downside" prompts a decision. "$4.2M ending cash" prompts a follow-up question. Include the working capital assumptions driving it, because collection timing is usually the largest swing factor and the least visible one. The cash flow metrics worth monitoring belong here rather than buried in the scorecard.

6. Decisions and asks

Two to four items, one page each. Each one states the context, the realistic options with their financial implications, management’s recommendation, and what is needed from the board.

Presenting options without a recommendation reads as indecision and consumes meeting time on framing rather than judgment. Presenting a recommendation without options reads as a request for rubber-stamping. Both together is the format that produces useful board input.

7. Appendix

Full detail statements, departmental breakdowns, cohort analysis, cap table, headcount roster, pipeline detail. Everything a director might want to verify and no director is required to read.

The recurring management package that feeds this appendix is a separate discipline with its own conventions, covered in monthly financial reporting package best practices.

A generous appendix is what makes a disciplined front section possible. The instinct to include detail in the body usually comes from a fear of appearing to hide something. The appendix resolves that without costing anyone attention.

How long the package should be, and when to send it

Carta’s guidance on board decks notes that earlier-stage companies commonly run 15 to 20 pages while later-stage decks reach 50 to 60 slides, which is far more than any meeting can cover. The length itself is less important than the ratio: the front sections should be readable in twenty minutes, with the rest available for reference.

A practical target for a company between $5M and $50M in revenue is 12 to 18 pages in the body, with an unlimited appendix.

Send it at least 72 hours ahead. A package that arrives the night before guarantees a meeting spent reading aloud. Circulating three days out, with an explicit note that the meeting will not walk through the financials, is what converts board time from review into discussion. Carta also makes the point that keeping metrics consistent across meetings is what lets directors see trend, since board members frequently look back at prior decks before a meeting.

Adapting the template by board type

The seven sections hold across board types. Emphasis shifts.

The production problem this creates

The template is not difficult to agree on. Producing it every quarter, per client, without consuming the margin on the engagement is the difficult part.

For an advisory firm, a board package pulls from four places at once: actuals from the general ledger, operational metrics from systems outside accounting, the current forecast, and the commentary layer. Assembling that by hand means a multi-day production cycle per client, mostly spent on formatting and reconciliation rather than on the analysis the client is paying for. At three or four board-reporting clients, it stops scaling.

Jirav closes that gap by keeping the reporting and the model in one place. Actuals connect from accounting, payroll, and operational sources, so the statements and the scorecard populate rather than get rebuilt. Because the forecast is a driver-based model rather than a static file, the updated-forecast and cash sections regenerate whenever an assumption changes, and the forecast walk is derivable rather than reconstructed. Reporting packages can be templated and reused across the client book through the partner console, which is what turns the board package from a bespoke project into a repeatable product. Commentary and notes attach to the reports themselves, so the explanation travels with the numbers instead of living in a separate document.

That shift matters commercially. The CPA.com and AICPA PCPS CAS Benchmark Survey found that firms generating significant revenue from CFO-level and business insights work reported more than 30% higher monthly recurring revenue and typical monthly fees more than 30% higher than peers. Board reporting is one of the clearest routes into that tier, provided the production cost stays contained. Firms running this model tend to price the package as a defined recurring deliverable rather than as hours, which is the shape of the advisory firm offering more broadly.

Five mistakes that cost the room

• Data without conclusions. Every chart should carry a one-line takeaway. If a chart has no takeaway, it belongs in the appendix.
• A moving format. Reorganizing between meetings erases comparability and costs directors their first ten minutes.
• No forecast revision. Historical reporting alone puts the board in a reactive position on every decision.
• Burying the bad news. Directors find it eventually, and finding it late is worse than hearing it first. Lead with it in the executive summary.
• No asks. A package with nothing requested invites the board to invent an agenda, which is rarely the agenda management wanted.

Getting started

Build the template once, agree the KPI set and the variance thresholds with the board chair or lead investor before the next meeting, and then hold the structure for four consecutive meetings before changing anything. The value of a board reporting template is almost entirely in its repetition. A structure that survives four meetings unchanged is worth more than a better structure that changes every quarter.
